License Agreement for Digital Products
Effective Date: April 14, 2024
This License Agreement (the "Agreement") is entered into by and between Vinyluxe Nails, hereinafter referred to as the "Licensor," and the individual or entity purchasing any digital product, hereinafter referred to as the "Licensee."
Grant of License:
The Licensor hereby grants the Licensee a non-exclusive, non-transferable license to use any digital product (the "Product") purchased from the Licensor for personal, non-commercial purposes only.
Restrictions:
- The Licensee may not: a. Use the Product for any commercial purposes, including but not limited to resale, distribution, or incorporation into products for sale. b. Modify, adapt, sublicense, sell, or distribute the Product in any form without explicit written consent from the Licensor. c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Product.
Personal Use Clause: 2. The Licensee agrees that the digital products are intended for personal use only and may not be used for any commercial purposes whatsoever.
Ownership: 3. The Licensor retains all rights, title, and interest in and to the digital products, including all intellectual property rights.
Warranty and Disclaimer: 4. The Product is provided "as is" without any warranty of any kind. The Licensor makes no representations or warranties regarding the accuracy, completeness, or fitness for a particular purpose of the Product.
Termination: 5. This license is effective upon the Licensee's acceptance of the Agreement and shall remain in effect until terminated by either party. The Licensee may terminate the license by ceasing to use the Product and deleting all copies. The Licensor reserves the right to terminate this license at any time if the Licensee breaches any of the terms herein.
Miscellaneous: 6. This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
